1. Acceptance of These Terms

These Terms of Use (“Terms”) are an agreement between you and El Pollo Rico (together with its subsidiaries and affiliated companies, “El Pollo Rico,” “we,” “us,” or “our”).

These Terms, together with our Privacy Policy and any other agreements or documents we expressly incorporate by reference, govern your access to and use of our website at elpolloricotx.com, including all content, functionality, and services we offer on it, whether you visit as a guest or a registered user, along with any mobile application or other online service, tool, or program we own or operate (collectively, the “Website”).

The Website includes all the ways we deliver content to you or receive content from you — our web pages, mobile pages, any downloadable applications, online ordering, forms, and any feature that lets you submit content to us.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE. BY ACCESSING OR USING THE WEBSITE, YOU ACCEPT THESE TERMS AND AGREE TO BE BOUND BY THEM. YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE WEBSITE. THESE TERMS INCLUDE PROVISIONS GOVERNING HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED, AS WELL AS DISCLAIMERS AND LIMITS ON OUR LIABILITY TO YOU.

We may change or discontinue any part or feature of the Website at any time, including its content, hours of availability, and the equipment needed to access it.

2. Eligibility

The Website is not intended for, or directed to, anyone under 13 years old. You must be at least 13 years old to use the Website. If you are 13 or older but under 18 (or under the age of majority where you live), you must review these Terms with a parent or guardian, and they must agree to them on your behalf before you use the Website.

3. Geographic Scope

We operate restaurants in Texas only. The Website is intended for use by people in the United States, and the services, menus, pricing, offers, and promotions described on it apply only to participating El Pollo Rico locations in Texas. We make no claim that the Website or its content is appropriate or available for use outside the United States. If you access the Website from elsewhere, you do so on your own initiative and are responsible for complying with the laws that apply to you.

4. Changes to These Terms

We may revise these Terms at any time in our sole discretion by posting the updated version on the Website. Changes take effect immediately upon posting and apply to all use of the Website after that point. However, changes to the dispute resolution provisions in Sections 18–21 will not apply to any dispute the parties had actual notice of on or before the date the change was posted.

Your continued use of the Website after we post revised Terms means you accept the changes. Please check these Terms each time you visit so you know what applies to you.

5. Access to the Website and Account Security

We may withdraw or amend the Website, or any service, content, or material on it, at our discretion and without notice. We will not be liable if the Website or any part of it is unavailable at any time or for any period. We may also restrict access to parts of the Website, or all of it, including to registered users.

You are responsible for:

  • Making all arrangements necessary to access the Website, including any devices, software, and internet service; and
  • Making sure that everyone who accesses the Website through your internet connection knows about and complies with these Terms.

We do not guarantee that the Website will function fully on any particular device or with any particular software. You are responsible for any messaging and data charges, fees, and taxes associated with your use of the Website.

Accounts. Some parts of the Website may require you to register for an account. If you do, you agree to:

  • Create only one account, for your personal, non-commercial use;
  • Provide accurate, current, and complete information, and keep it updated;
  • Keep your password confidential and not share it with anyone;
  • Not let anyone else access the Website using your credentials;
  • Log off at the end of each session, and use extra caution on public or shared computers;
  • Notify us immediately at elpolloricotx@gmail.com of any unauthorized use of your account or other breach of security.

You are responsible for all activity that occurs under your account and accept the risk of unauthorized access. We may disable any username, password, or other identifier at any time, in our sole discretion, for any reason or no reason — including if we believe you have violated these Terms.

All information you provide when creating an account or using any interactive feature is governed by our Privacy Policy. By using the Website, you consent to our handling of your information as described there.

6. Intellectual Property Rights

The Website and its contents, features, and functionality — including the El Pollo Rico name and logo, trademarks, service marks, designs, text, displays, images, graphics, photographs, video, audio, recipes and menu descriptions, other files, and the selection and arrangement of all of it — are owned by El Pollo Rico, our licensors, or other content providers, and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted are reserved.

Subject to these Terms, we grant you a non-exclusive, non-transferable, limited, revocable license to use the Website for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Website, except that:

  • Your device may temporarily store copies in RAM as an incident to viewing the material;
  • You may keep files automatically cached by your browser;
  • If we make an application available for download, you may install it on your own device for personal, non-commercial use, subject to any applicable end user license agreement; and
  • If we provide social media sharing features, you may use them as enabled.

You must not:

  • Modify copies of any material from the Website;
  • Use any illustration, photograph, image, video, or audio separately from the text that accompanies it;
  • Delete or alter any copyright, trademark, or other proprietary notice; or
  • Use any part of the Website, or any service or material available through it, for commercial purposes.

If you use any part of the Website in breach of these Terms, your license terminates immediately and you must, at our option, return or destroy any copies you made. No right, title, or interest in the Website or its content transfers to you.

7. Trademarks

“El Pollo Rico,” the El Pollo Rico logo, and all related names, logos, graphics, product and service names, designs, and slogans are trade names, trademarks, or registered trademarks of El Pollo Rico or its affiliates or licensors (the “Marks”). You may not use the Marks without our prior written permission. All other names, logos, and marks on the Website belong to their respective owners.

8. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

  • In any way that violates any federal, state, local, or international law or regulation;
  • To exploit or harm anyone — for example, by exposing them to inappropriate content or asking for personal information;
  • To harass, abuse, stalk, threaten, or violate the rights of anyone;
  • To send, receive, upload, or reuse any material that doesn’t meet the Content Standards in Section 11;
  • To transmit any advertising or promotional material without our written consent, including junk mail, chain letters, or spam;
  • To impersonate El Pollo Rico, an El Pollo Rico employee, another user, or anyone else, or to misrepresent your identity or affiliation; or
  • To engage in any conduct that restricts or inhibits anyone else’s use of the Website, or that we determine may harm us or our users or expose us to liability.

You also agree not to:

  • Provide sensitive personal information unless we specifically request it;
  • Use the Website in a way that could disable, overburden, damage, or impair it, or interfere with anyone else’s use of it;
  • Use any robot, spider, scraper, or other automated means to access the Website, including to monitor or copy its material;
  • Use any manual process to monitor or copy material on the Website without our written consent;
  • Use any technology to access the Website that we haven’t authorized;
  • Use any device, software, or routine that interferes with the proper working of the Website;
  • Introduce any virus, Trojan horse, worm, logic bomb, or other malicious or technologically harmful code;
  • Attempt to gain unauthorized access to, damage, or disrupt any part of the Website, its servers, or any connected network or database;
  • Attempt to access another user’s account;
  • Attack the Website through a denial-of-service or distributed denial-of-service attack; or
  • Otherwise attempt to interfere with the proper working of the Website.

9. User Contributions

The Website may include areas — such as reviews, comment sections, message boards, profiles, or connected social media features (collectively, “Interactive Services”) — that let you post, submit, publish, display, or transmit content (“User Contributions”). When you use an Interactive Service, you understand that certain information and content may be displayed publicly.

All User Contributions must comply with the Content Standards in Section 11.

Any User Contribution you post is considered non-confidential and non-proprietary. By posting a User Contribution, you grant us, our agents, employees, affiliates, service providers, and each of their and our licensees, successors, and assigns an irrevocable license to use, translate, publish, reproduce, modify, perform, display, distribute, and otherwise disclose that content to third parties for any purpose, consistent with your account settings. You release us and those parties from any claim that this use violates your rights, and you understand you will not receive compensation for it.

You represent and warrant that:

  • You own or control all rights in your User Contributions and have the right to grant the license above;
  • Your User Contributions comply with these Terms; and
  • Your User Contributions are not subject to any confidentiality obligation.

We do not control User Contributions posted by you or any third party. You are solely responsible and assume all liability for anything you post, including its legality, reliability, accuracy, and appropriateness. We are not responsible for any User Contribution posted by you or any other user, or for any mistake, defamation, omission, falsehood, obscenity, or other content in it.

10. Monitoring, Enforcement, and Termination

We have no obligation to monitor or edit User Contributions, but we reserve the right, in our absolute discretion, to remove any User Contribution at any time for any reason, without notice. We also have the right to:

  • Refuse to post any User Contribution for any reason or no reason;
  • Take any action regarding a User Contribution that we consider necessary or appropriate, including if we believe it violates these Terms, infringes someone’s rights, threatens the safety of our users or the public, or could create liability for us;
  • Disclose your identity or other information about you to any third party who claims your posted material violates their rights;
  • Take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Website; and
  • Terminate or suspend your access to all or part of the Website for any reason or no reason.

We may cooperate fully with law enforcement authorities or with any court order requesting the identity or other information of anyone posting material on the Website. YOU WAIVE AND HOLD HARMLESS EL POLLO RICO AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIM RESULTING FROM ANY ACTION TAKEN DURING OR AS A CONSEQUENCE OF INVESTIGATIONS BY US, THOSE PARTIES, OR LAW ENFORCEMENT.

We may not review all content before it is posted and cannot guarantee prompt removal of content that violates these Terms. Enforcement is solely at our discretion, and any delay or absence of enforcement is not a waiver of our right to enforce. We assume no liability for any action or inaction regarding any transmission, communication, or content provided by any user or third party.

11. Content Standards

These standards apply to all User Contributions and use of Interactive Services. User Contributions must comply with all applicable federal, state, local, and international laws. User Contributions must not:

  • Contain material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable in our sole discretion;
  • Promote or contain sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property right;
  • Violate the legal rights of others (including rights of publicity and privacy) or contain material that could create civil or criminal liability;
  • Promote, encourage, or assist any illegal activity;
  • Cause annoyance, inconvenience, or needless anxiety, or be likely to upset, embarrass, alarm, or annoy anyone;
  • Impersonate any person or entity or misrepresent your identity or affiliation;
  • Involve commercial activity such as contests, sweepstakes, sales promotions, barter, or advertising;
  • Give the false impression that they come from or are endorsed by El Pollo Rico or anyone else;
  • Be unlawful, fraudulent, or deceptive; or
  • Violate these Terms.

12. Copyright Infringement

If you believe any content on the Website infringes a copyright you own or control, please notify us at elpolloricotx@gmail.com with: a description of the copyrighted work, the location of the allegedly infringing material, your contact information, a statement that you believe in good faith the use is unauthorized, a statement under penalty of perjury that your notice is accurate and you are authorized to act, and your physical or electronic signature.

It is our policy to terminate the accounts of repeat infringers. We may also limit access to the Website or terminate the account of any user who infringes the intellectual property rights of others, whether or not they are a repeat infringer.

13. Reliance on Information Posted

Information on the Website is provided for general information only. We do not warrant its accuracy, completeness, or usefulness. Any reliance you place on it is strictly at your own risk. We disclaim all liability arising from reliance on such material by you or any other visitor.

Menu, pricing, allergen, and nutrition information. Menu items, prices, availability, and ingredients vary by location and may change without notice. Product formulations and preparation methods may change, and our kitchens handle common allergens (including but not limited to wheat, soy, dairy, eggs, peanuts, and tree nuts), so we cannot guarantee that any item is free from any allergen or from cross-contact. If you have a food allergy or dietary restriction, please speak with restaurant staff before ordering.

The Website may also include content provided by third parties, including other users, bloggers, and third-party licensors and aggregators. Statements and opinions in that content are the responsibility of the person or entity providing them, not ours, and do not necessarily reflect our views. We are not responsible or liable for the content or accuracy of any third-party material.

14. Changes to the Website

We may update the Website’s content from time to time, but its content is not necessarily complete or current. Any material on the Website may be out of date at any given time, and we have no obligation to update it. We may also modify or discontinue the Website or any part of it, temporarily or permanently, without notice. You agree we will not be liable for any modification, suspension, or discontinuance.

15. Online Ordering and Third-Party Services

Services offered through the Website apply only to participating El Pollo Rico restaurants in Texas.

Some purchases and transactions made through, or resulting from a visit to, the Website may be operated by third-party suppliers and service providers — for example, online ordering platforms (Doordash, UberEats, Genius), payment processors (Genius), and delivery services. In those cases, these Terms do not apply to that transaction, and the third party’s own terms of use and privacy policy govern. By using a third-party service, you agree to comply with its terms and notices. We are not responsible for the privacy practices or terms of these services, and we encourage you to read them.

Orders and pricing. All orders are subject to acceptance and to product availability at the selected restaurant. We reserve the right to refuse or cancel any order, including in cases of pricing errors, suspected fraud, or unavailability. Prices, taxes, and fees shown at checkout apply to that order only. Refund, cancellation, and pickup or delivery policies are as described at the point of ordering or by the third-party ordering platform.

16. Linking to the Website and Social Media Features

You have a limited, non-exclusive right to create text hyperlinks to our homepage for noncommercial purposes, provided you do so in a way that is fair and legal and does not portray El Pollo Rico falsely, deceptively, or in a derogatory way, or otherwise damage our reputation. You may not link in a way that suggests any association, approval, or endorsement by us without our express written consent.

The Website may offer social media features that let you link to content on the Website, share it by email or other communication, or display limited portions of it on your own or a third-party site. You may use these features only as we provide them and only with the content they are displayed with.

You must not:

  • Link to the Website from a site you don’t own;
  • Frame, deep link, or in-line link the Website or portions of it so it appears to be displayed on another site;
  • Link to any part of the Website other than the homepage; or
  • Take any action regarding the Website’s materials that is inconsistent with these Terms.

We make no claim about, and accept no responsibility for, the content or nature of any website that links to ours.

These are provided for your convenience only. We do not control, endorse, or adopt them or any content on them. We are not responsible or liable in any way for Third-Party Links or anything on them, including the quality of third-party products or services or any related warranty obligations. If you access a Third-Party Link, you do so entirely at your own risk and subject to that site’s terms.

18. Disclaimer of Warranties

We cannot and do not guarantee that files available for download from the internet or the Website will be free of viruses or destructive code. 19. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL EL POLLO RICO, ITS PARENTS, SUBSIDIARIES, AFFILIATES, INDEPENDENT CONTRACTORS, LICENSORS, CONSULTANTS, AND SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUCCESSORS, AND ASSIGNS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE, ANY LINKED WEBSITE, OR ANY CONTENT ON THE WEBSITE — INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; PERSONAL INJURY; PAIN AND SUFFERING; EMOTIONAL DISTRESS; LOSS OF REVENUE, PROFITS, BUSINESS, OR ANTICIPATED SAVINGS; LOSS OF USE, GOODWILL, OR DATA; OR THEFT — WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, AND EVEN IF FORESEEABLE. 20. Indemnification

You agree to defend, indemnify, and hold harmless El Pollo Rico, its parents, subsidiaries, affiliates, independent contractors, licensors, consultants, and service providers, and their respective officers, directors, employees, contractors, agents, successors, and assigns, from and against any claims, suits, fines, penalties, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your violation of any third party’s rights, or your use or misuse of the Website — including your User Contributions and any use of the Website’s content, services, or products other than as expressly authorized here.

21. Governing Law and Jurisdiction

All matters relating to the Website and these Terms, and any dispute or claim arising from or related to them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be brought exclusively in the state or federal courts located in Williamson County, Texas, and the parties consent to the personal jurisdiction and venue of those courts and agree not to contest or challenge them.

22. Arbitration

At our sole discretion, we may require you to submit any dispute arising from these Terms or the Website — including disputes concerning their interpretation, violation, invalidity, non-performance, or termination — to final and binding arbitration before one arbitrator in Williamson County, Texas. The arbitration will be conducted under the Commercial Arbitration Rules of the American Arbitration Association, applying Texas law.

23. Class Action Waiver

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, ANY PROCEEDING TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR EL POLLO RICO WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

24. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, IT IS PERMANENTLY BARRED.

25. Waiver and Severability

No waiver by El Pollo Rico of any term or condition in these Terms is a further or continuing waiver of that term or any other term, and our failure to assert a right or provision does not waive it.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision will be eliminated or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

26. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and El Pollo Rico regarding the Website, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, written or oral, regarding the Website.

27. Text Messaging Program

If you opt in to receive marketing messages from or on behalf of El Pollo Rico, you consent to receive text messages at the mobile number you provide, or push notifications from any mobile application. These may include special offers, surveys, and similar promotions (“Promotions”). Promotions apply only at participating El Pollo Rico restaurants in Texas. Restrictions may apply and items are subject to availability. Promotions may be governed by additional rules or terms, and we encourage you to read them.

You will receive no more than 5 messages per week. Your mobile carrier’s message and data rates may apply, and you are responsible for those charges, which are billed by and payable to your carrier. Carriers are not liable for delayed or undelivered messages.

You may withdraw consent and unsubscribe at any time by replying STOP to any message. Reply HELP for help. Opting out of text messages does not opt you out of other communications such as email or push notifications. For assistance, contact elpolloricotx@gmail.com.
